  1. Basic Policy - As a socially responsible company, ITDistributors shall conduct all business affairs in accordance with the highest business ethical standards, comply with applicable laws, and be a good corporate citizen.

  2. Customers - Earning and maintaining the respect and trust of our customers and suppliers are key to ITDistributors’ continued success.  We compete fairly and honestly by delivering superior logistics services to our customers.  ITDistributors does not authorize, nor condone/ encourage/promote (either directly, or indirectly through others) any unlawful or unethical behavior, such as bribery, kick-backs, pay-offs, promises to pay cash or things of value, or any other activities that may be construed as being corrupt, unlawful or unethical.

  3. Competitors - ITDistributors competes fairly against other logistics services providers, and complies with applicable anti-competition laws to ensure our services are provided on their merits. Only lawful means of obtaining information about our competitors will be used.

  4. Business Partners and Suppliers - ITDistributors will only use those business partners, suppliers, and contractors who have a high regard for CSR.  All supplier agreements shall contain the following Business Principles clause:   “Seller acknowledges and agrees that Seller has been made fully aware of ITDistributors’ Statement of Business Principles (which may be updated from time to time and available at: http://www.itdistributors.com/AboutUs/ Principles.html) and agrees to apply the principles in performance of this contract.  In particular, Seller shall ensure they do not discriminate against employees, agrees to combat bribery of domestic and foreign public officials, protect international human rights, and conduct their business in an environmentally-friendly manner.  Seller recognizes that violation of this principle will be a material breach of contract.

  5. Conflicts of Interest - ITDistributors employees must avoid business decisions, conduct, or other external activities that create a real or apparent conflict of interest with their obligations or duties to ITDistributors, by either declining to engage in conflicting behavior, or by first seeking guidance from the ITDistributors executive in charge of Human Resources.  ITDistributors assets (of any type) may not be used for personal gain.

  6. Data Privacy - ITDistributors employees may not exploit any company financial or non-financial data for personal gain.  ITDistributors will protect the confidential and proprietary nature of data disclosed by customers and suppliers.  The privacy of such data shall be protected at all times, including personal data related to employees.

  7. Recordkeeping - All ITDistributors employees are responsible for the accurate recording and reporting of financial data and the integrity of financial records.  Pertinent business records will be preserved for appropriate retention periods, whether in paper or soft copy, and properly disposed of when the retention periods end.

  8. Diversity - ITDistributors is a woman-owned business which understands very well the value of diversity in both the supply chain as well as amongst our own workforce.  Supplier Diversity is the proactive inclusion of diverse suppliers across the supply chain of goods and services procured and delivered to customers.  Supplier Diversity is an established business requirement in the U.S. that is rapidly spreading to other parts of the world.  Within its own domain, ITDistributors promotes a workplace that is free of harassment and discrimination.  Employees must not discriminate against each other; e.g., age, disability, ethnic origin, gender, race, religion, or sexual orientation.  Employees should feel valued and fully engaged in the success of the business.

  9. Pledge to Human Rights and Social Responsibility - To the extent that ITDistributors can influence them, we support and respect the protection of international human rights set out in the United Nations Global Compact.  In particular, we support the effective elimination of all forms of compulsory labor and child labor.  Additionally, ITDistributors makes this an important consideration in selecting and managing our suppliers and contractors.  ITDistributors also agrees to combat bribery of domestic and foreign public officials.

  10. Environment, Health, and Safety (EHS) - ITDistributors is committed to protecting the environment and ensuring the health and safety of its employees, contractors, and customers in the communities where we live and work.  ITDistributors Executive Management views this as a major objective, as well as the individual and collective responsibility of all employees.  Our commitment to EHS will be proactively communicated, both internally and externally through our CSR efforts. ITD-selected suppliers are encouraged to develop an EHS management system.  Customer-specified suppliers should be monitored for EHS compliance through the activities and interactions between the customer and their specified supplier.  ITDistributors will promote recycling of materials wherever possible to protect the environment, and will encourage adoption of similar EHS principles by our supply base.  We will comply with all applicable EHS laws and regulations, and provide safe working conditions for our employees.  Lastly, ITDistributors supports the UN Global Compact and endorses the UN’s Caring for Climate initiative.

Accountability - ITDistributors employees are all accountable, individually and in groups, for their behavior, actions and results.   All employees are required to comply with this Statement of Business Principles.  Failure to do so will result in disciplinary actions.   Employees have an obligation to report unethical business conduct, violation of Company policies, or the commission of any dishonest, destructive or illegal action. In compliance with whistle-blower laws, ITDistributors does not retaliate against anyone who, in good faith, reports what he or she believes to be a violation of law or Company policy.
